1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the AGAVESKOOL platform, available at agaveskool.com, and all related content, features, and services (the "Services"). By accessing or using our Services, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be bound by them. These Terms constitute a binding agreement with AGAVESKOOL SA de CV.

If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use our Services.

2. About AGAVESKOOL

AGAVESKOOL is a digital platform for agave spirits education, label and brand documentation, and certified tasting data. The platform operates in partnership with COMERCAM, Mexico's mezcal regulatory council, to provide certified sensorial tasting data for participating mezcal brands. AGAVESKOOL serves agave spirits producers, importers, brand builders, and enthusiasts worldwide.

3. Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Responsibility

You must notify us immediately at hello@agaveskool.com if you suspect any unauthorized access to your account. AGAVESKOOL is not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in conduct harmful to other users or the platform.

4. Subscriptions and Payments

4.1 Subscription Plans

AGAVESKOOL offers free and premium subscription tiers. Premium subscriptions grant access to additional features including certified tasting data, brand documentation, and educational content. Subscription plans and pricing are subject to change with reasonable notice.

4.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annual). By subscribing, you authorize us to charge your chosen payment method automatically. All fees are stated in US dollars unless otherwise noted.

4.3 Cancellations and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for unused portions of a subscription period, except where required by applicable law.

4.4 Brand and Production Services

Engagements for brand services are governed by separate scopes of work or service agreements. Pricing and deliverables will be confirmed in writing before any engagement begins.

5. User Content

5.1 Your Content

You retain ownership of any content you submit to the platform, including reviews, tasting notes, and ratings. By submitting content, you grant AGAVESKOOL a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the platform and its services.

5.2 Content Standards

User content must not be false, misleading, defamatory, or harmful, nor may it infringe on the rights of others. Spam, unauthorized advertising, unlawful material, and privacy violations are strictly prohibited.

5.3 Content Removal

AGAVESKOOL reserves the right to remove any content that violates these Terms or is deemed inappropriate, harmful, or inconsistent with the integrity of the platform.

6. Age Restriction and Alcohol Platform Notice

By using AGAVESKOOL, you confirm that you are of legal drinking age in your country or jurisdiction of residence. The platform is not intended for use by minors. All content related to agave spirits is provided for educational and informational purposes and does not encourage irresponsible consumption.

7. COMERCAM Certified Tasting Data

Certified tasting data presented on the platform originates from official COMERCAM sensorial tasting panels. Agave spirits products may evolve over time and AGAVESKOOL does not guarantee that current batches of any product will match previously certified tasting data. This data is provided for informational purposes only and does not constitute purchasing recommendations or quality guarantees. COMERCAM's authority applies specifically to mezcal as defined under Mexican regulatory standards.

8. Third-Party Brands and Intellectual Property

AGAVESKOOL displays brand names, label artwork, logos, and trademarks belonging to agave spirits producers for educational and informational purposes. All brand intellectual property remains the exclusive property of its respective owners. Display on this platform does not imply partnership or endorsement unless documented through paid service agreements. Brand owners with concerns should contact hello@agaveskool.com.

9. User Reviews and Tasting Notes Disclaimer

User-submitted ratings and reviews reflect the personal opinions and sensory experiences of individual contributors. AGAVESKOOL provides the platform but does not edit, verify, or endorse individual user reviews. The company bears no liability for review content, provided content moderation obligations are met.

10. No Commercial or Professional Advice

All platform content is provided for general informational and educational purposes only. Content does not constitute purchasing advice, investment advice, business consulting, or any form of professional recommendation. Users should not rely solely on platform information for business or purchasing decisions.

11. Intellectual Property

11.1 AGAVESKOOL Content

All content created by AGAVESKOOL, including text, graphics, data, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written permission.

11.2 Trademark

"AGAVESKOOL" and associated logos are trademarks of AGAVESKOOL SA de CV. Use of these marks requires express written consent.

11.3 Feedback

Any feedback or suggestions you provide to AGAVESKOOL grants the company a perpetual, irrevocable, royalty-free right to use that feedback for any purpose without compensation.

12. Prohibited Conduct

You agree not to:

• Scrape, crawl, or extract data without written permission
• Attempt to access unauthorized portions of the platform
• Disrupt or interfere with the Services or servers
• Impersonate another person or entity
• Send unsolicited communications through the platform

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. AGAVESKOOL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The platform makes no guarantees regarding uptime, errors, viruses, or content accuracy.

15. Limitation of Liability

AGAVESKOOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. Our total liability to you for any claim arising from these Terms shall not exceed the total amount you have paid to AGAVESKOOL in the twelve (12) months preceding the claim. For brand service engagements, liability is further limited to the fees paid for the specific engagement.

16. Indemnification

You agree to indemnify, defend, and hold harmless AGAVESKOOL, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your user content, or your violation of these Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Mexico. For users in the United States, you agree to resolve any disputes through binding arbitration and not through class action proceedings. You waive your right to a jury trial, except with regard to claims for injunctive relief.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our platform with a revised effective date. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance.

19. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AGAVESKOOL. If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign your rights under these Terms; AGAVESKOOL may assign its rights freely.
